1. DEFINITIONS AND PLATFORM OVERVIEW

For purposes of these Terms of Service ("Terms"), each capitalized word or phrase shall have the exact meaning stated in this Section and no alternate interpretation shall apply.

"Modeau" or "Platform" means the proprietary mobile application and online service owned and operated by Modeau Company, inclusive of the modeauapp.com website, mobile applications, databases, software, user interfaces, and all associated or ancillary services and features. "Modeau Company," "we," "us," and "our" mean the legal entity incorporated in Washington State, United States, including all successors and assigns, that owns and operates the Platform. "User" means any natural person who registers an Account and accesses or uses the Platform in any capacity. "Account" means the registered user profile on the Platform that enables uploading, sharing, viewing, saving, and interacting with digital wardrobe items, images, or other user-generated content. "Content" means any photos, videos, wardrobe items, captions, comments, messages, or other materials uploaded, posted, or shared through the Platform by a User. "Registration Information" means all data provided during account creation, including but not limited to email address, password, name, and any additional optional profile information provided by the User. "Unauthorized Activity" means any use of the Platform that: (a) violates these Terms; (b) circumvents Platform security or access controls; (c) impersonates another person or entity; (d) involves fraudulent, misleading, or deceptive conduct; (e) transmits malware, spam, or harmful code; or (f) violates any applicable laws or regulations. Unauthorized Activity constitutes grounds for immediate account termination without notice.

 

Platform Description

The Platform enables Users to create digital wardrobes, upload and organize fashion-related Content, share posts publicly or with followers, interact socially through likes, comments, and follows, and view fashion inspiration from other Users. The Platform functions as a digital fashion and lifestyle community and provides features for user expression, self-promotion, and discovery. The Platform and its features are provided solely as described in these Terms.

 

Agreement to Terms

By registering for, accessing, or using any part of the Platform, you represent and warrant that you have read these Terms in full, understand them, and agree to be legally bound by them. Any use without such agreement is prohibited and void ab initio.

 

2. USER ELIGIBILITY AND ACCOUNT RESPONSIBILITIES

Eligibility Requirements

Each User must be at least thirteen (13) years of age at registration, possess full legal capacity to enter binding agreements, and comply at all times with applicable laws and regulations. Users under the age of eighteen (18) represent that they have obtained parental or guardian consent to use the Platform. Any Account created in violation of these requirements shall be null and void and constitutes a material breach of these Terms.

Account Responsibilities

Each User is solely responsible for safeguarding login credentials, for all activity under their Account whether authorized or unauthorized, for promptly notifying Modeau Company of any suspected or actual compromise, and for ensuring that all Registration Information remains accurate, current, and complete. Unauthorized Activity under a User’s Account shall be deemed the responsibility of that User for Platform purposes and may result in immediate account termination.

 

3. PRIVACY AND DATA

Privacy Policy

The Privacy Policy available at modeauapp.com/privacy is incorporated herein by reference with the same force and effect as if fully set forth. By using the Platform, each User consents to the collection, use, processing, storage, and disclosure of information as described in the Privacy Policy.

Data Processing Location

The Platform and associated data are hosted in the United States. Users accessing the Platform from other jurisdictions consent to the transfer and processing of their data in the United States and are responsible for compliance with their local laws.

Data Security

Modeau Company implements commercially reasonable administrative, technical, and physical safeguards to protect User data; however, no method of electronic transmission or storage is completely secure and absolute security cannot be guaranteed. Users transmit data at their own risk.

 

4. USER CONTENT AND INTELLECTUAL PROPERTY

Ownership and License

Users retain all ownership rights in Content they post or upload to the Platform. By uploading or posting Content, each User grants Modeau Company a non-exclusive, worldwide, royalty-free, transferable license to host, display, reproduce, and distribute such Content on or through the Platform and in connection with its operation, promotion, and marketing.

Use of Content

Users understand and agree that Content posted on the Platform may be visible to other Users and the public depending on profile settings. Users are solely responsible for ensuring that their Content complies with all laws and does not infringe the rights of others.

Prohibited Content

Users are strictly prohibited from posting or sharing Content that:
(a) infringes any intellectual property rights;
(b) contains nudity, sexually explicit material, or hate speech;
(c) promotes violence, discrimination, or illegal activity;
(d) misrepresents brands or designers;
(e) contains false, misleading, or defamatory statements.

Violation constitutes Unauthorized Activity and may result in immediate account suspension or termination.

Removal and Enforcement

Modeau Company reserves the right to remove any Content or suspend any User at its discretion for violations of these Terms or applicable law.

 

5. PREMIUM FEATURES AND PAYMENTS

The Platform may offer premium features, brand collaborations, or paid enhancements. All payments are processed exclusively via Stripe or other authorized payment processors in U.S. Dollars. Users are responsible for all applicable fees, taxes, or foreign exchange charges. Refunds, if any, shall be governed by the specific feature’s payment terms at the time of purchase. Modeau Company is not liable for issues or failures arising from third-party payment processors.

 

6. CODE OF CONDUCT

Users are strictly prohibited from:
(a) providing false or misleading information;
(b) engaging in harassment, bullying, impersonation, or abuse;
(c) using bots, automation, or scraping tools;
(d) attempting to access private data or interfere with Platform operations;
(e) posting malware, spam, or harmful code;
(f) engaging in any other Unauthorized Activity.

Any violation constitutes an incurable breach of these Terms and shall result in account suspension or termination without notice.

 

7. DISPUTE RESOLUTION

Internal Resolution Process

Users shall first submit any dispute or complaint to Modeau Company’s internal resolution system by contacting support@modeau.app within thirty (30) days of the triggering event. Users must provide all relevant documentation and cooperate with any investigation. Modeau Company will review disputes and render a determination within fourteen (14) business days when possible.

Arbitration and Class Action Waiver

Any dispute not resolved under Section 7.1 shall be submitted exclusively to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with venue in Seattle, Washington. Each party bears its own costs unless the arbitrator determines otherwise. Users waive any right to bring claims on behalf of others or to participate in class actions, class arbitrations, or representative proceedings against Modeau Company. Court proceedings are permitted solely to enforce arbitral awards.

 

8. LIMITATION OF LIABILITY

The Platform is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied. Modeau Company shall not be liable for indirect, incidental, special, consequential, or punitive damages, loss of data, service interruptions, third-party service failures, or user disputes. The total aggregate liability of Modeau Company to any User for all claims shall not exceed the total amount paid by that User to Modeau Company during the twelve (12) months immediately preceding the claim.

 

9. TERM AND TERMINATION

These Terms remain in effect for as long as a User maintains an Account on the Platform. Modeau Company may, in its discretion, suspend, restrict, or terminate accounts; remove content; or modify Platform features at any time. Upon termination, Platform access ceases immediately, but previously granted licenses remain valid and enforceable.

The following provisions survive termination: intellectual property licenses, limitation of liability, dispute resolution, and any vested rights or obligations.

 

10. GENERAL PROVISIONS

These Terms shall be governed by the laws of the State of Washington, without regard to conflict of law principles. These Terms, together with the Privacy Policy and any additional terms displayed within the Platform, constitute the entire agreement between Users and Modeau Company. Modeau Company may modify these Terms upon thirty (30) calendar days’ notice; continued use constitutes acceptance. Invalid provisions shall be severed and replaced with valid provisions reflecting original intent. Failure to enforce any provision does not constitute a waiver. Users may not assign rights without written consent; Modeau Company may assign freely.

 

11. CONTACT INFORMATION

All inquiries, communications, notices, and legal correspondence relating to these Terms shall be directed to Modeau Company via email at support@modeau.app or through the website at modeau.app. Notices from Users must originate from the registered email address and are effective upon receipt acknowledgment. Platform notices are effective upon earlier of actual receipt or seventy-two (72) hours after transmission.

 

By using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. These Terms shall be construed strictly according to their plain language.
